A) Confidential Information: During the course of business between MLT DIRECT CANADA and you, the fulfillment customer, MLT DIRECT CANADA may disclose certain confidential and proprietary information (the Confidential Information) to you. Confidential information shall include all data, materials, products, inventory information, technology, computer programs, specifications, manuals, business plans, software, marketing plans, financial information, and other information disclosed or submitted, orally, in writing, or by any other media. Nothing herein shall require MLT DIRECT CANADA to disclose any of its information. B) Fulfillment Customers Obligations: 1) You agree that the Confidential Information is to be considered confidential and proprietary to MLT DIRECT CANADA and you shall hold the same in confidence and shall not use the Confidential Information other than for the purposes of your sales with your customers that being. You will not disclose, publish, or otherwise reveal any of the Confidential Information received from MLT DIRECT CANADA to any other party whatsoever. 2) Confidential Information furnished in tangible form shall not be duplicated by you or any of your employees except for purposes of this Agreement. Upon the request of MLT DIRECT CANADA, you must return all Confidential Information received in written or tangible form, including copies or reproductions or other media containing such Confidential Information, within (10) days of such request. C) General Provisions: 1) MLT DIRECT CANADA is not responsible in any way for any type of erroneous data, your use of our services, or any other activity of MLT DIRECT CANADA relating to MLT DIRECT CANADA' fulfillment of your orders. 2) You will comply with all applicable present and future country, international, federal, provincial, state, county, and local laws, ordinances, and regulations, including laws constructed for direct marketing avenues via Internet sales. D) YOUR REGISTRATION OBLIGATIONS In consideration of your use of the service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or MLT DIRECT CANADA has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, MLT DIRECT CANADA has the right to suspend or terminate your account and refuse any and all current or future use of the service (or any portion thereof). E) MLT DIRECT CANADA SOURCE PRIVACY POLICY Registration Data and certain other information about you is subject to our Privacy Policy. We will not release any of the information you provide to MLT DIRECT CANADA to any outside agency or affiliate unless required by law. All information will be held in complete confidence between you and MLT DIRECT CANADA. F) MEMBER ACCOUNT, PASSWORD AND SECURITY You will receive a password and account designation upon completing the Registration Application. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify MLT DIRECT CANADA of any unauthorized use of your password or account or any other breach of security, and (b) you agree not to access the Service by any means other than through the interface that is provided by MLT DIRECT CANADA for use in accessing the Service. MLT DIRECT CANADA cannot and will not be liable for any loss or damage arising from your failure to comply with this Section F. |
